ADP Major Account Services Comprehensive Services SWEEPSTAKES PROMOTION 2010

Terms and Conditions

No purchase necessary to enter or win. Product purchase will not enhance chances of winning a prize.

1. ELIGIBILITY
The ADP Major Account Services Comprehensive Services sweepstakes" or "Promotion") is offered and open only to businesses located in the  United States with between 50-999 employees.    By entering, you agree to these Official Rules and the decisions of ADP Major Account Services, the Sweepstakes judging organization, which are final and binding in all respects.  Void where prohibited.

2. PROMOTIONAL PERIOD
Promotional period begins on May 14, 2010 at 5:00 a.m. Eastern Standard Time (MST), and ends on  the earlier of   June 30, 2010 at 7 p.m. EST  and the date on which ADP has received 500 valid entries ("Promotional Period).   
 
3. ENTRY
A company is eligible to enter the Promotion if it schedules and completes an appointment attended by a member of the company’s senior leadership team, finance or HR executive, with an ADP Major Accounts District Manager within the Promotional Period.  Upon  completion of the  appointment with an ADP Major Accounts District Manager, entrants will be provided a website URL and code to register entry information. All entries must have complete company and contact information, as is indicated on the entry screen. Each company is limited to ONE Internet entry.  More than one entry from any one-business entity will void all entries from that business.

4. DRAWING
Sixty prize winners will be selected by random drawing  after the  promotion period.  Drawings for the prizes will take place on or about 7/15/2010. Drawings will be conducted under the supervision of ADP Major Account Services Marketing, 15 Waterview Boulevard, Parsippany, New Jersey 07054. Once the prize winners have been selected, the individuals will be notified via a phone call and/or email message. If any potential winner can not be contacted within seven (7) days after the first attempt to contact such potential winner, an alternate winner will be selected at random from the eligible entries received.

5. PRIZE/ODDS
Prizes: There will be sixty prize winners in total, approximately 1 in 8 based on 500 entries for valid appointments with an ADP Major Accounts Sales Representatitive. The prize winners will receive a free Amazon Kindle* valued at approximate US $260.

The prize winners will be determined by a random drawing held at ADP Major Account Services, 15 Waterview Boulevard, Parsippany, New Jersey 07054. Odds of winning depend on the number of eligible entries received. No assignment, transfer or substitution of prize is permitted. All prizes are expressed in U.S. Dollars.  Shipping fees of award item will be handled by ADP. 

The prize will be shipped within a three week period from date of drawing.  Taxes are the sole responsibility of winner.  If by reason of a printing or other error, more prizes are claimed than the number set forth in these official rules, all persons making purportedly valid claims will be included in a random drawing to award the advertised number of prizes available in the prize category in question.  No more than the advertised number of prizes will be awarded.

 6. GENERAL CONDITIONS
All entries become the sole property of ADP, Inc. and none will be returned. In the event of a dispute, entries made by Internet will be deemed made by the authorized account holder of the email address submitted at the time of entry.  The "authorized account holder" is deemed the natural person who is assigned to an email address by an Internet access provider, service provider or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address.  A potential winner may be requested to provide ADP with proof that the potential winner is the authorized account holder of the email address associated with the winning entry and that they are authorized on behalf of the applicable business to have entered the sweepstakes.

By accepting a prize, each winner releases and agrees to hold harmless ADP, and its parents, affiliates, subsidiaries, advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a prize, participation in any Sweepstakes related activity, or participation in this Sweepstakes. Void where prohibited.

ADP reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Sweepstakes or Web site; to be in violation of the Terms of Service of the Web site; to be acting in violation of the Official Rules; to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

Any use of robotic, automatic, macro, programmed or like entry methods will void all such entries by such methods, and persons using any such methods will be disqualified.  ADP will prosecute any fraudulent activities to the full extent of the law.

If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of ADP , corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes ADP reserves the right to cancel, terminate, modify or suspend the Sweepstakes and conduct a random drawing to award the prize using all eligible non-suspect entries received as of the termination date.

ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, THE ADP RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

7. LIMITATIONS OF LIABILITY
ADP is not responsible for late, lost, illegible, misdirected, stolen, undelivered, separated, or postage due entries or mail, and ADP assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to its Web sites. ADP is not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, computer equipment, software, failure of any email or entry to be received by the ADP on account of technical problems, human error or traffic congestion on the Internet, or at any Web site, or any combination thereof.
 
ADP is not responsible for any incorrect or inaccurate capture of information or the failure to capture such information, whether caused by Web site users, tampering or hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes. ADP is not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of the Web site. If, for any reason, the Sweepstakes is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of ADP, could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, ADP reserves the right at its sole discretion to cancel, terminate, modify or suspend this Sweepstakes for any drawing(s) and select the winner from entries received for that drawing prior to the action taken or in such other manner as ADP deems fair and equitable.  Caution: Any attempt by a contestant to deliberately damage any website or undermine the legitimate operation of the sweepstakes is a violation of criminal and civil laws and should such an attempt be made, ADP reserves the right to seek damages from any such contestant to the fullest extent of the law. 

IN NO EVENT WILL THE ADP, ADP, OR AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF INTERNET SITE WWW.ADP.COM/SIMPLE OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THIS SITE AND IN THIS PROMOTION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. 8.   DISPUTES
As a condition of participating in this Promotion, participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Promotion, shall be resolved individually, without resort to any form of class action, exclusively, before a court located in the State of New Jersey having competent jurisdiction, which Court shall apply the laws of the State of New Jersey without regard for doctrines of Conflict of Law. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than participant's actual out-of-pocket expenses (i.e., costs associated with entering this Promotion), and participant further waives all rights to have damages multiplied or increased.

In the event of a dispute as to the identity of a winner based on an email address, the winning entry will be declared made by the authorized account holder of the email address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

9. WINNER LIST
For names of the prize mail winners list, please send a self-addressed stamped envelope for receipt by August 31, 2010, 5 PM EST,  to ADP Major Account Services Marketing,  Comprehensive Services Sweepstakes Winners, 15 Waterview Boulevard, Parsippany, New Jersey 07054.
